Website Terms of Use and Licence Agreement

These terms apply when you use our public website at www.novek.io (the "Website"). Please read them. By using the Website, you agree to them. If you do not agree, please do not use the Website.

1. About us

The Website is operated by Novek Limited ("Novek", "we", "us"), a company registered in England and Wales, company number 11130954, registered office Chantal, Woodland Lane, Chorleywood, Hertfordshire, WD3 5LS, United Kingdom. In these terms, "you" means the person using the Website, or the business that person represents.

2. Who owns the content

The Website and everything on it is protected by copyright, trade mark, database right, design right and other intellectual property laws. This includes text, images, graphics, product designs, drawings, videos, software, the Novek name and logo, and the way the Website is selected and arranged ("Content").

The Content is owned by, or licensed to, Novek Limited. All rights not expressly given to you in these terms are reserved.

3. Licence we give you

Subject to these terms, we give you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to:

• view the Website in your browser;
• download and print single copies of Content for your own internal business or personal reference, if you keep all copyright and trade mark notices; and
• quote short extracts for news reporting, criticism or review, with a clear credit to Novek and a link to the Website.

This licence does not give you ownership of, or any right in, the Content beyond what is stated here. It starts when you first use the Website and ends when you break these terms or when we end it under section 14.

4. What you must not do

Without our prior written consent, you must not:

• copy, reproduce, republish, sell, rent, sublicense, distribute or commercially exploit any Content;
• modify, adapt, translate or create derivative works from the Content;
• copy or imitate our product designs, machine drawings or technical information to make or sell competing products;
• use the Novek name, logo or any similar mark or domain name in a way that suggests a connection with us;
• use scrapers, bots, crawlers or other automated tools to extract Content or data, or use the Content to train artificial intelligence or machine learning models;
• reverse engineer, decompile or attempt to discover source code of any software on the Website, except where the law allows it;
• frame the Website, or deep link to it in a misleading way;
• remove or alter any copyright, trade mark or other notice.

5. Acceptable use

You must use the Website lawfully and responsibly. You must not:

• attempt to gain unauthorised access to the Website, its servers or any connected system;
• introduce viruses, malware or other harmful or disruptive code, or carry out denial-of-service attacks;
• overload or interfere with the Website or its security features;
• submit false, misleading, defamatory, unlawful or infringing material through the Website; or
• use the Website in a way that breaches the Computer Misuse Act 1990 or any other law.

We may report breaches to the relevant authorities and may share your details with them.

6. What you send us

If you send us information through the Website, for example by email, you confirm that it is accurate and that you have the right to send it. You keep ownership of it. You give Novek a worldwide, non-exclusive, royalty-free licence to use, store and copy it to respond to you and to run our business. We handle personal data as set out in our Privacy Policy.

If you send us ideas, suggestions or feedback about our products or the Website ("Feedback"), you agree that we may use it freely and without payment or credit to you, and that this does not give you any right in our products or intellectual property. This section does not apply to personal data, which stays subject to data protection law.

7. Product and company information

The Website describes Novek products, including liquid dispensing machines and related services. This information is general. It is not an offer, a quote, a warranty or professional advice. Specifications, availability and markets may change without notice. Any sale or supply of Novek products is made only under a separate written agreement signed by Novek.

Nothing on the Website is an invitation or offer to invest in Novek, or financial or investment advice.

8. Third-party links and content

The Website may link to websites and materials owned by others. We do not control them and are not responsible for them. A link does not mean we endorse the third party. Your use of third-party sites is at your own risk and under their terms.

9. Availability

We try to keep the Website available and accurate, but we do not promise that it will be uninterrupted, error-free or free of harmful components. We may change, suspend or withdraw any part of it at any time, for example for maintenance. You are responsible for your own device and for using up-to-date security software.

10. Our responsibility to you

The next points apply to the extent the law allows. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit. If you are a consumer, your statutory rights are not affected.

• The Website and Content are provided "as is" and "as available". We give no warranty that they are accurate, complete, current or suitable for your purpose, except those the law implies and cannot be excluded.
• We are not liable for loss arising from your use of, or inability to use, the Website, or from reliance on its Content, unless the loss was a foreseeable result of our breach of these terms or our negligence.
• If you are a business user, we are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss. Our total liability to you for all claims related to the Website is limited to £10.

The Website is for general information. We give no assurance that it is suitable for use outside the United Kingdom, and you must follow local laws if you access it from elsewhere.

11. Your responsibility to us (business users)

If you use the Website for business purposes, you will compensate Novek for losses, costs and claims that result from your breach of sections 4 or 5, or from your misuse of the Website.

12. Trade marks

"Novek", the Novek logo and other product and service names on the Website are trade marks of Novek Limited, whether registered or not. You have no right to use them without our written consent. Other names on the Website belong to their owners.

13. Reporting infringement

If you believe Content on the Website infringes your rights, email [email protected] with your name, the material concerned, where it appears, and why you believe it infringes. We will review it promptly.

14. Suspension and ending

We may suspend or end your access, and end your licence under section 3, at any time if you break these terms. When that happens you must stop using the Website and delete any downloaded Content. Sections 2, 4, 6, 10, 11, 12, 14, 15 and 16 continue after termination.

15. Changes to these terms

We may change these terms from time to time. The version on the Website on the date you use it applies. We will update the "last updated" date. If you keep using the Website after a change, you accept the new terms.

16. General

• Whole agreement: these terms, with the Privacy Policy, are the whole agreement between you and us about the Website.
• Separate parts: if a court decides that part of these terms cannot be enforced, the rest stays in force.
• No waiver: if we delay in enforcing a right, we do not lose it.
• Transfer: you may not transfer your rights under these terms. We may transfer ours to a buyer of our business.
• Third parties: no one other than you and us has a right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
• Notices: we may give notice by posting on the Website or by email. You may give notice to [email protected] and our registered office.

17. Governing law and courts

These terms, and any dispute or claim arising from them or from your use of the Website (including non-contractual disputes), are governed by the law of England and Wales.

If you are a business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer living in the UK, you may bring a claim in the courts of the part of the UK where you live, and England and Wales courts have jurisdiction over claims against you in the same way. If you are a consumer living elsewhere, you keep any mandatory consumer rights you have under the law of your country.
